ANNUAL MAINTENANCE AGREEMENT

OFFICE DIRECT, INC. (ODI)is requested to furnish off –site maintenance and service for the equipment listed herein for the period listed, which is payable in advance. PERIOD: From ___________________ To__________________

Equipment maintenance upon request includes testing, lubricating, adjusting, and the replacement of unserviceable parts in order to keep the equipment in good working order during the period(s) covered by this Agreement.

Customer agrees to be responsible for all shipping costs to Office Direct, Inc., 123 West Madison, Suite 1000, Chicago, IL 60602. Further more, if the customer requests express shipping back to his location he will also be responsible for that as well. Express shipping is defined as all shipping types other than standard UPS ground. Office Direct, Inc. will pay for UPS Ground shipping back to the customers location. When shipping a unit in for repair please include all parts and a written or typed description of the problem with the machine.

On Digital Recorders Office Direct, Inc. will ship a replacement unit the day the broken unit is received. The replacement unit is to be considered as the repaired unit. The customer should remove any memory cards from the broken machine and remove the rechargeable batteries. The replacement unit will come with no batteries or memory

This contract covers on-line installation of your software. This contract also covers any phone in, email and on-line technical support of the software, which is included with the Olympus AS-4000 or DS-4000. Most issues should be resolved with in one business of the first call. On occasion this may take longer and the ability to resolve all issues with your Olympus Software relies on the current state of your PC and paid services like E-Mail or FTP providers.

It is possible that Office Direct, Inc.'s support staff may inform you that your current E-Mail or FTP service is not adequate or doesn't allow the software to move files properly. It is not Office Direct, Inc's responsibility to supplement financially or by any other means the holder of this warranty for improvements of their E-Mail or FTP services. Office Direct, Inc. is also not responsible financially or by any means to the holder of this warranty, for the cost of any IT work needed for the implementation that is beyond the scope of the software provided of the product.

To do on-line installation Office Direct, Inc. utilizes a freeware called Ultra VNC. Which is a remote control software for PC's. This software allows Office Direct's Support staff to remote control your PC from our support office. This software should be used with a high-speed internet connection, like DSL or cable and Office Direct needs the customer to have this type of connection to ensure this type of support.

VNC is password protected port-to-port remote control software. It is very important that when you install it to put a complex password into the current user properties of VNC server. It is also important to only run this software while support is being done with your PC. Office Direct, Inc. does not assume any risk in any vulnerabilities your PC has do to running VNC.

Batteries and External Memory are not covered by this warranty.

Continuation of service will be with the agreement of the customer and ODI.

In addition to the annual maintenance charge, any applicable tax now or hereafter imposed on, or in connection with, the furnishing of the service herein provided for, will be added.

Maintenance hereafter does not include supplies or repairs made necessary by electrical power failure, fire, water, abuse or other casualties. In such event, repair or alteration will be rendered only upon special order by the customer, and after approval by the customer of the estimated additional charge. ODI will only be held responsible for repairs made by OM Service Technicians during the period of this contract.

From time to time, parts become unavailable/discontinued from the manufacturer. ODI will not be held responsible for repair in such cases.

This Agreement is not transferable and cannot be modified except by an agreement in writing signed by the customer and ODI.

This Agreement shall become effective the period stated above, or as otherwise indicated. Renewal of this contract will be with the agreement of both parties.
